L’IMAD Moves to Acquire Remaining Shares of AD Ports Group in Dh6.25 Offer

Abu Dhabi has an investor called L’IMAD. This investor is going to buy the rest of the shares of AD Ports Group. This means L’IMAD will own all of AD Ports Group through its subsidiary company ADQ.

The plan is to offer people money for the shares they own in AD Ports Group. This is for the shares that ADQ does not already own but now ADQ owns a lot of AD Ports Group, about 75.42 per cent.

The price they are offering is 6.25 dirhams for each share. This is a deal because it is more than the last price of the share on the Abu Dhabi Securities Exchange and the last price was 5.10 dirhams. It is also more than the price over the last month and the last three months.

The average price over the month was 5.02 dirhams and, over the last three months was 4.76 dirhams. AD Ports Group shares are going to be bought by L’IMAD through ADQ at a good price.

Blue container ship docked at a port with red-and-white gantry cranes unloading cargo containers under a bright sky.

For investors who participated in AD Ports Group’s initial public offering, the proposed price is significantly higher than the Dh3.20 subscription price before the company began trading on the Abu Dhabi Securities Exchange in February 2022. The latest offer represents an increase of about 95 per cent over that IPO price.

L’IMAD said the proposed transaction would provide shareholders with an opportunity to realise immediate value from their holdings. The offer remains conditional and will be subject to the necessary regulatory approvals.

ADQ, the Abu Dhabi government’s sovereign investment arm and L’IMAD’s wholly owned subsidiary, is already the controlling shareholder of AD Ports Group. The proposed acquisition would therefore consolidate ownership of the company under the Abu Dhabi sovereign investment structure if all remaining shares are acquired.

AD Ports Group has expanded significantly since its 2022 listing, building businesses spanning ports, maritime services, logistics and economic zones.

The company reported strong financial performance in the first half of 2026, while continuing to expand its international operations and logistics network. Its portfolio currently includes 40 terminals with operations and investments across 50 countries.

Full terms of the proposed offer and its timetable are expected to be detailed in an offer document to be published by AD Ports Group.
